Terms of Service

These Terms of Service ("Terms") govern your use of huskai.co.uk and the Haul e-commerce platform ("Haul", "the Platform"), operated by Huskai ("we", "us", "our"), a UK-based business. By using our website or services, you agree to these Terms. If you do not agree, please do not use our services.

1. Definitions

  • "Huskai" — the trading name of the business operating huskai.co.uk and the Haul platform.
  • "Haul" — our multi-tenant e-commerce platform that enables independent sellers to create and run online stores.
  • "Merchant" — a person or business that signs up for a Haul account to sell products.
  • "Customer" — a person who buys products from a Merchant's Haul-powered store.
  • "Subscription" — the recurring monthly or annual payment plan a Merchant selects to use Haul.

2. Eligibility

To use our services, you must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using Haul on behalf of a business, you represent that you have authority to bind that business to these Terms.

3. Your Account

  • You are responsible for keeping your login credentials secure.
  • You are responsible for all activity that occurs under your account.
  • You must provide accurate and up-to-date information when creating your account.
  • You must notify us immediately if you suspect unauthorised access to your account.

4. The Haul Platform

4.1 What We Provide

Haul is a software-as-a-service (SaaS) platform that provides Merchants with the tools to create an online store, manage products, process orders, and accept payments. We provide the technology — Merchants are responsible for their own products, content, customer service, and compliance with applicable laws.

4.2 Subscription Plans and Pricing

  • Haul offers paid subscription plans starting from £15 per month. Current pricing is available on our Haul page.
  • We offer a 3-day free trial for new accounts. No payment is taken during the trial period.
  • Annual plans are available at a discounted rate (currently 20% off monthly pricing).
  • We do not charge transaction fees on sales made through Haul. Standard payment processing fees from Stripe apply separately.
  • We reserve the right to change our pricing with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle.

4.3 Payments

All payments are processed securely by Stripe. By subscribing to Haul, you authorise us to charge your payment method on a recurring basis (monthly or annually, depending on your plan). All prices are in GBP (British Pounds) and are exclusive of VAT where applicable.

4.4 Cancellation and Refunds

  • You can cancel your Haul subscription at any time from your account dashboard.
  • When you cancel, your store will remain active until the end of your current billing period.
  • We do not offer refunds for partial billing periods. If you cancel mid-cycle, you will continue to have access until the end of the period you have already paid for.
  • If you cancel during the free trial, you will not be charged.

4.5 Account Closure

When your subscription ends and is not renewed:

  • Your store will be taken offline.
  • Your data (products, orders, customer information) will be retained for 30 days in case you wish to reactivate.
  • After 30 days, your data will be permanently deleted unless legal retention requirements apply (for example, order records may be retained for up to 6 years for tax purposes).
  • You can request a data export before your account is closed.

5. Merchant Responsibilities

As a Merchant on Haul, you agree to:

  • Comply with all applicable laws, including consumer protection, distance selling regulations, product safety, and data protection laws.
  • Only sell products that comply with our Acceptable Use Policy.
  • Accurately describe your products, including pricing, materials, and shipping information.
  • Fulfil orders in a timely manner and handle customer service, returns, and refunds.
  • Display your own privacy policy and terms of sale to your customers.
  • Ensure you have all necessary licences, permits, or registrations to sell your products.
  • Not use Haul for any illegal, fraudulent, or deceptive purpose.

6. Customer Transactions

Huskai is not a party to any transaction between Merchants and their Customers. When a Customer purchases a product from a Haul-powered store:

  • The contract of sale is between the Merchant and the Customer.
  • Huskai is not responsible for the quality, safety, legality, or delivery of products sold by Merchants.
  • Payment processing is handled by Stripe on behalf of the Merchant.
  • Any disputes about products, refunds, or service should be directed to the Merchant.

7. Intellectual Property

7.1 Our IP

The Huskai name, Haul brand, website design, software, and all associated intellectual property belong to Huskai. You may not copy, modify, distribute, or create derivative works from our platform without our written permission.

7.2 Your Content

You retain ownership of all content you upload to Haul (product images, descriptions, store content, etc.). By uploading content, you grant us a non-exclusive licence to host, display, and distribute that content solely for the purpose of operating the Platform. This licence ends when you delete the content or close your account.

8. Prohibited Conduct

You must not:

  • Attempt to access other merchants' accounts, data, or stores.
  • Reverse-engineer, decompile, or attempt to extract the source code of Haul.
  • Use automated tools (bots, scrapers) to access the Platform in ways that could harm performance.
  • Introduce malicious code, viruses, or other harmful material.
  • Use the Platform to send spam or unsolicited communications.
  • Resell or sublicence access to Haul without our permission.
  • Violate our Acceptable Use Policy.

9. Suspension and Termination

We may suspend or terminate your account if:

  • You breach these Terms or our Acceptable Use Policy.
  • Your use of the Platform poses a security risk or could harm other users.
  • You fail to pay your subscription fees after reasonable notice.
  • We are required to do so by law.

Where possible, we will give you notice and an opportunity to resolve the issue before taking action. In cases of serious or repeated violations, we may suspend access immediately.

10. Availability and Support

  • We aim to keep the Platform available at all times, but we do not guarantee 100% uptime. Occasional downtime may occur for maintenance, updates, or reasons beyond our control.
  • We will make reasonable efforts to notify you of planned maintenance in advance.
  • Support is available via email at hello@huskai.co.uk and through our Discord community.

11. Limitation of Liability

To the fullest extent permitted by law:

  • Huskai provides the Platform "as is" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
  • Our total aggregate liability to you for any claims arising from or related to these Terms or the Platform shall not exceed the amount you have paid us in subscription fees during the 12 months immediately preceding the claim.
  • We are not liable for any loss or damage caused by circumstances beyond our reasonable control (force majeure), including but not limited to natural disasters, power outages, internet disruptions, or actions by third-party service providers.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

12. Indemnification

You agree to indemnify and hold Huskai harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Platform.
  • Products you sell through Haul.
  • Your breach of these Terms.
  • Your violation of any law or third-party rights.

13. Data Protection

We handle personal data in accordance with our Privacy Policy. Merchants who use Haul to process customer data must enter into our Data Processing Agreement, which forms part of these Terms.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a prominent notice on our website at least 30 days before the changes take effect. Your continued use of the Platform after the changes take effect constitutes acceptance of the updated Terms.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. General

  • Entire agreement: These Terms, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and Data Processing Agreement, constitute the entire agreement between you and Huskai.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations to a successor in the event of a merger, acquisition, or sale of assets.
